Requirement to convene AGM before filing
Annual Return
Every company need to convene an Annual
General Meeting (AGM) a least once in a year. For a newly
incorporated company, you have to convene an AGM within 18
months of the date of incorporation. subsequently, you have 15
months after your last AGM or 6 months from the date of your
financial year to convene an AGM. Thereafter, you have
30 days to file the annual return and the financial
statement, if applicable with ACRA.
Whether need to file financial statement
with ACRA
If your company is an exempt
private company and the company is solvent, then you
need not file the financial statement with ACRA. Please note
that if your company had turnover of over S$5 million, the
financial statement must be audited. Companies with turnover of
less than S$5 million are not required to have their
accounts audited. Please refer to our article on audit exemption.
Filing financial statements in
XBRL
If your company is required to file the financial
statementsin addition to the annual return, ACRA required the
submision to be in XBRL. The FS Manager for preparing the
accounts in XBRL is available at www.bizfile.gov.sg.
There are 2 options for XBRL
- Full XBRL - the full financial statement
- Partial XBRL - only the balance sheet and income
statement and a PDF copy of the financial statement
